Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and LitmusRun ("LitmusRun," "we," "us," or "our") governing your access to and use of our website, applications, APIs, documentation, waitlist, and synthetic validation services (collectively, the "Service"). By accessing or using the Service, creating an account, joining the waitlist where account creation is offered, or clicking to accept these Terms, you agree to be bound by them, our Privacy Policy (including our cookie practices), and Refund Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. The Service

LitmusRun provides infrastructure for deploying panels of synthetic user agents that interact with digital products, media, and documents in isolated browser or analysis sessions. The Service may include project workspaces, panel composition, live activity streams, structured findings, persona assessments, consensus reports, collaboration tools, share links, API access, webhooks, billing, and related features described on our website or in documentation.

The Service is provided on an infrastructure and tooling basis. Outputs are generated by automated systems and are probabilistic in nature. We do not guarantee that panels will identify every issue, that findings will be accurate, or that use of the Service will result in improved conversion, revenue, accessibility compliance, security posture, or launch readiness. Synthetic validation supplements but does not replace human user research, professional design review, formal accessibility audits, legal review, or security penetration testing.

2. Eligibility

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, and capable of forming a binding contract. The Service is not intended for use by minors. By using the Service, you represent and warrant that you meet these requirements.

If you access the Service from a jurisdiction where use is prohibited by law, you may not use the Service. You are responsible for compliance with local laws applicable to you and to content you submit.

3. Accounts and security

You may need an account to access certain features. You agree to provide accurate registration information and keep it current. You are responsible for safeguarding credentials and for all activity under your account, whether authorized or not.

Notify us immediately at security@litmusrun.com if you suspect unauthorized access. We may suspend or terminate accounts that appear compromised or used in violation of these Terms.

We may offer waitlist registration, beta access, or early access programs subject to additional communications. Access may be limited, modified, or withdrawn at any time.

4. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not, and will not permit others to:

  • Submit URLs, files, credentials, or other content you do not have the right to access, test, reproduce, or distribute
  • Use the Service to attack, probe, disrupt, or gain unauthorized access to third-party systems, networks, or data
  • Reverse engineer, decompile, or attempt to extract source code from the Service except where prohibited restrictions are unenforceable by law
  • Circumvent rate limits, usage caps, authentication, billing controls, or technical restrictions
  • Resell, sublicense, or provide unauthorized third-party access to the Service except as expressly permitted in an enterprise agreement
  • Upload malware, unlawful content, or material that infringes intellectual property, privacy, or publicity rights
  • Harass, abuse, or harm others, or use the Service to generate spam or deceptive communications
  • Misrepresent synthetic agent outputs as human research or human testimonials where disclosure is required by law or industry standards
  • Use the Service in regulated contexts (such as medical diagnosis, legal advice, or credit decisions) without appropriate human oversight and compliance programs

We may investigate violations and cooperate with law enforcement. We may remove content, throttle usage, or terminate access without refund if you violate these Terms or pose risk to the platform or third parties.

5. Your content and licenses

You retain ownership of content you submit to the Service ("Customer Content"), including URLs, documents, configuration, credentials you provide, and outputs generated specifically for your workspace, subject to third-party rights in underlying materials.

You grant LitmusRun a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use Customer Content solely to operate, provide, secure, and improve the Service, provide support, enforce these Terms, and comply with law. This license survives termination only as needed for backup retention, legal compliance, and dispute resolution as described in our Privacy Policy.

You represent and warrant that you have all rights necessary to grant this license and that Customer Content does not violate these Terms or applicable law.

6. Plans, fees, and billing

Certain features require a paid subscription. Fees, usage limits, feature availability, and plan names are described on our pricing page, at checkout, or in an order form. We may change prices or plans upon notice as permitted by law and your subscription terms. Taxes may apply unless stated otherwise.

Paid subscriptions renew automatically for successive billing periods unless cancelled before the renewal date through billing settings or the payment provider customer portal. You authorize us and our payment processor to charge applicable fees to your payment method on file.

Failure to pay may result in suspension or downgrade of access. Refunds are governed exclusively by our Refund Policy at /refund.

Free tiers, trials, and promotional credits may be offered at our discretion with additional limitations. We may modify or discontinue free offerings at any time.

7. API and programmatic access

If you use APIs, webhooks, or API keys, you agree to comply with published documentation, rate limits, and authentication requirements. API keys must be kept confidential. You are responsible for activity conducted with your keys.

We may modify API endpoints, payloads, or rate limits with reasonable notice where practicable. Continued use after changes constitutes acceptance of modified API terms where permitted by law.

8. Collaboration and sharing

The Service may allow you to invite collaborators or generate share links. You control sharing settings and are responsible for recipients you authorize. Public or unlisted share links may expose completed readout information to anyone with the link.

Collaborator roles may limit actions such as launching panels, viewing live streams, or managing billing. Review permissions before inviting users.

9. Third-party services

The Service integrates with third-party providers for authentication, payments, hosting, AI inference, email, and other functions. Your use of third-party services may be subject to their terms and privacy policies. We are not responsible for third-party services or for websites and applications you submit for validation.

10. Service availability and modifications

We strive for reliable operation but do not guarantee uninterrupted or error-free service. Maintenance, upgrades, third-party outages, sandbox capacity, and factors outside our reasonable control may affect availability or panel completion times.

We may modify, suspend, or discontinue features with notice where practicable. Material adverse changes to paid features may entitle you to remedies described in your plan terms or applicable law.

11. Intellectual property

LitmusRun and its licensors own all rights in the Service, including software, branding, documentation, and underlying technology, excluding Customer Content. No rights are granted except as expressly stated in these Terms.

You may not use our trademarks, logos, or branding without prior written consent, except as necessary to describe your lawful use of the Service.

12. Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate feedback without obligation to you, except where prohibited by law.

13. Confidentiality

Each party may receive non-public information from the other. You agree to protect staging credentials and non-public workspace data using reasonable care. LitmusRun will treat Customer Content as confidential except as needed to operate the Service or as described in our Privacy Policy.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LITMUSRUN AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, THAT OUTPUTS WILL BE ACCURATE OR COMPLETE, OR THAT DEFECTS WILL BE CORRECTED.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LITMUSRUN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LITMUSRUN'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO LITMUSRUN FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations. In those jurisdictions, our liability is limited to the fullest extent permitted by law.

16. Indemnification

You will defend, indemnify, and hold harmless LitmusRun and its affiliates, officers, directors, employees, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from Customer Content you submit, your use of the Service, violation of these Terms, or violation of third-party rights or applicable law, except to the extent caused by LitmusRun's gross negligence or willful misconduct.

17. Term and termination

These Terms remain in effect while you use the Service. You may stop using the Service at any time and may cancel paid subscriptions as described in our Refund Policy.

We may suspend or terminate your access immediately for breach, non-payment, risk to the platform, legal requirement, or prolonged inactivity. Upon termination, your right to access the Service ceases. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

18. Export and sanctions

You may not use or export the Service except as authorized by United States law and the laws of the jurisdiction in which you reside. You represent that you are not located in, under control of, or a national or resident of any country or person subject to comprehensive embargoes or sanctions prohibiting receipt of the Service.

19. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence apply and cannot be waived by contract.

Except where prohibited, you and LitmusRun agree that exclusive jurisdiction for disputes arising from these Terms or the Service shall lie in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

If you are a consumer in the European Union, United Kingdom, or another jurisdiction with mandatory local dispute resolution rights, nothing in these Terms limits rights you cannot contractually waive.

20. General provisions

These Terms, together with the Privacy Policy (including our cookie practices), Refund Policy, and any order form or enterprise agreement, constitute the entire agreement between you and LitmusRun regarding the Service and supersede prior agreements on the same subject.

If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Notices to you may be provided by email, in-product notification, or posting on our website. Notices to LitmusRun should be sent to the contact information below.

22. Beta and experimental features

We may offer beta, preview, or experimental features identified as such in the product or documentation. These features may be incomplete, change without notice, or be withdrawn at any time. They are provided without additional warranties and may be subject to separate usage limits.

23. Force majeure

LitmusRun is not liable for delay or failure to perform obligations (other than payment obligations owed to you where required by law) due to events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, utility failures, governmental actions, or widespread third-party cloud provider outages.

24. Copyright complaints

If you believe content on the Service infringes your copyright, send a notice to legal@litmusrun.com with identification of the work, the material claimed to infringe, your contact information, a good-faith statement, and your signature. We may remove or disable access to material alleged to infringe and terminate repeat infringers where appropriate.
